Terms of service
These terms govern your use of LHAT, Fleet Watch, SICILEE and any hardware we supply. By creating an account or fitting one of our trackers, you agree to them.
Who you are contracting with
LHAT is operated by Lee Henry AI & Technology, Lee Henry AI and Technology Ltd, a company registered in Nigeria under number RC 9955786, with its registered office at 3 Alabi Center, Karaole Street, Abule Egba, Lagos 100276. In these terms, “we”, “us” and “our” mean that company, and “you” means the person or organisation holding the account.
If you are agreeing on behalf of a company, you confirm that you are authorised to bind it, and “you” means that company.
Your account
You must give accurate information when you register and keep it current. You are responsible for everything done under your account, including by people you invite to it, and for keeping your password and any API keys confidential.
Tell us immediately if you believe your account or a key has been used without your permission. We may suspend an account while we investigate.
What we provide
- Fleet Watch: vehicle tracking software, together with the trackers and any related hardware we supply or you connect to it.
- SICILEE: our intelligence platform, available to approved companies through our API.
- LHAT: the account through which the above are provided.
We may change, add to or withdraw features. Where a change materially reduces what a paid service does, we will give you 30 days notice and you may cancel without penalty for the remainder of the term you have paid for.
Hardware
Where we supply trackers or other equipment, title passes to you on full payment and risk passes on delivery. You are responsible for having equipment fitted competently and lawfully to vehicles you own or are authorised to fit.
Hardware is covered by a 12 month warranty against defects in materials and workmanship. That warranty does not cover damage from accident, misuse, unauthorised modification, incorrect fitting by someone other than us, or anything done to the vehicle itself.
The immobiliser, and safety
Fleet Watch can instruct a fitted relay to prevent a vehicle being started. This is a significant capability and you accept the following as a condition of using it.
- You will only immobilise a vehicle you own or are lawfully entitled to immobilise.
- You will not use it in a way that could endanger anyone, including any attempt to stop a vehicle that is moving or occupied.
- You accept that delivery of any command depends on the vehicle's tracker having power and a mobile signal, and that neither is guaranteed.
- You will keep the tracker's speed threshold at a setting appropriate to your vehicles and drivers.
We report a command as confirmed only when the tracker reports that the relay actually changed state. Until that point the command is queued or sent, and the interface says so. You must not treat a queued or sent command as an immobilised vehicle.
Drivers and the people you track
If you use Fleet Watch to track vehicles driven by employees, contractors or anyone else, you are responsible for meeting your own legal obligations to those people. That normally includes telling them clearly that the vehicle is tracked, what is recorded, why, and for how long, and it may include consultation or consent requirements where you operate.
In relation to that personal data you are the controller and we are your processor. We process it on your instructions, as set out in our privacy policy. You confirm you have a lawful basis for the tracking you carry out.
Acceptable use
You must not, and must not permit anyone else to:
- Track a person or vehicle without the legal right to do so.
- Use the services to harass, stalk, threaten or harm anyone.
- Attempt to access another customer's account, data or vehicles.
- Probe, scan or test the security of our systems without our written permission, or interfere with their operation.
- Resell, sublicense or provide the services to a third party as your own without our written agreement.
- Reverse engineer the services, except to the extent that restriction is not permitted by law.
- Use the SICILEE API to build a competing intelligence platform, or to train a model on its outputs.
Fees
Fees, billing periods and payment terms are as set out when you subscribe or as agreed in writing. [PRICING AND BILLING TERMS TO BE INSERTED.] Unless stated otherwise, fees exclude taxes, which you are responsible for.
If an invoice is unpaid after 7 days, we may suspend the services on notice. Suspension does not stop fees accruing.
Availability and accuracy
We work to keep the services available and correct, but we do not promise they will be uninterrupted or error free. Vehicle tracking depends on satellite positioning and mobile networks that we do not operate. Positions can be delayed, degraded or unavailable, and the accuracy of any position, distance, speed or journey is limited by what the tracker was able to report.
You must not rely on Fleet Watch as the sole means of locating a vehicle in an emergency, or as a substitute for insurance, physical security or lawful recovery.
Your data
You keep all rights in the data you and your vehicles generate. You grant us the licence we need to host, process and display it in order to provide the services, and to keep backups.
We may use aggregated information that cannot identify you or any individual to operate and improve the services.
Our intellectual property
We keep all rights in the services, our software, our models and our brands. Nothing in these terms transfers any of that to you. You may use the services only as these terms allow.
Suspension and termination
You may close your account at any time. We may suspend or end your access if you breach these terms, if an invoice goes unpaid, or if we are required to by law, and we will give you notice unless doing so is unlawful or would make the harm worse.
When an account is closed, its data is deleted after 30 days. Export anything you need before then, because deletion is permanent and we do not keep a copy.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, we are not liable for loss of profit, loss of business, loss of data, or any indirect or consequential loss, and our total liability in any twelve month period is limited to the fees you paid us in that period.
We are not liable for a vehicle that is stolen, damaged or lost, nor for a failure to immobilise, where the cause is outside our reasonable control, including loss of mobile coverage, loss of vehicle power, tampering with a tracker, or an act of a third party.
Indemnity
You will indemnify us against claims arising from your use of the services in breach of these terms, and from any claim brought by a person you tracked where you did not have the right to track them.
Changes to these terms
We may update these terms. If a change materially affects you we will tell you through the service or by email at least 30 days before it takes effect. Continuing to use the services after that means you accept the change.
Governing law
These terms are governed by the laws of Nigeria, and the courts of Lagos State have exclusive jurisdiction, except that either of us may seek an injunction anywhere it is needed.
